DESIGN PARTNER AGREEMENT

This Agreement between [OTHER PARTY’S LEGAL NAME] (“[SHORT NAME]”) and COMPANY, Inc. (“COMPANY”) is to exchange confidential and proprietary information for the purpose of mutual benefit.

Where [SHORT NAME] is a company with requirements for PRODUCT and COMPANY is a company developing a PRODUCT solution, the mutual benefits being sought include, but are not limited to:

1.      Insight into COMPANY’s product strategy, architecture, deployment models and future vision

2.      Ability to influence COMPANY product development such as functionality, features, interoperability, management capability and release priorities.

For COMPANY

1.      Insight into [SHORT NAME]’s IT environment and requirements

2.      Guidance on product development such as such as functionality, features, interoperability, management capability and release priorities.

[SHORT NAME] and COMPANY hereby agree to meet at mutually convenient times on a quarterly basis with phone calls and/or email exchanges between meetings as necessary to carry out the intent of this Agreement.

The [NDA AGREEMENT NAME] dated [DATE] between [SHORT NAME] and COMPANY shall govern information shared during such exchanges.

This Agreement remains in effect until terminated by either [SHORT NAME] or COMPANY for any reason.
